Terms of Service
Last updated October 24, 2026
These terms are an agreement between you and Yodis LLC, a Nevada limited liability company (“Yodis”, “we”, “us”). They cover the Yodis website, the vault we build for you, the Yodis desktop app, and the AI features our servers provide (together, the “Service”). By subscribing or using the Service, you agree to these terms, our Privacy Policy and our Refund Policy.
Who can use Yodis
You must be at least 18 and live in the United States. You’re responsible for keeping your account details and your API key private, and for what happens under your account. If you lose your key or think it has been exposed, email support@yodis.ai and we’ll issue you a new one.
What you get
Each plan includes:
- Setup: an intake session with us, then a Yodis vault built for you and installed on your computer. The vault is a set of Obsidian notes, folders, guides and templates.
- The Yodis desktop app, which connects your vault to our servers.
- AI features such as asking questions across your notes and building learning syllabi, up to your plan’s monthly limits.
Obsidian is separate software made by another company, and your use of it is governed by its own terms.
Your subscription
Plans are billed through Stripe, either monthly or for 12 months up front, plus a one-time setup fee. Prices don’t include any sales tax that may apply. Your subscription renews automatically at the end of each month or year, at the price in effect then, until you cancel. For 12-month plans, we email you a reminder before the renewal.
You can cancel at any time from the billing portal or by emailing support@yodis.ai. Cancelling stops future charges. Your AI features keep working until the end of the period you’ve paid for. Refunds follow our Refund Policy.
To change plans, email support@yodis.ai and we’ll switch your subscription for you. There’s no new setup fee, and any price difference for the current period is prorated.
We may change our prices. We’ll email you at least 30 days before a new price applies to you, and it takes effect at your next renewal.
Fair use and plan limits
Each plan has monthly usage limits that keep the Service affordable for everyone. Limits reset at the start of each calendar month (UTC). If you reach your limit, AI features pause until the next month begins. We never charge you extra for usage. We may adjust the limits, and we’ll tell you before a change reduces yours.
Your notes stay yours
You own your notes and everything you write. You give us permission to process your content only as needed to provide the Service, as described in the Privacy Policy. We don’t claim any ownership of your content.
The vault we build for you
Everything we install on your computer during setup, including the folder structure, the vault guide, the tooling documents and the templates, is yours to keep and use for as long as you like, including after you cancel. The setup fee pays for it.
That permission is for your own personal or internal business use. You may not sell, publish or redistribute the vault’s structure, guides or templates as a product or service of your own. The methods, software and materials we use to run intake and build vaults on our side remain ours.
When your subscription ends, AI features stop working, and your vault keeps working as ordinary Obsidian files.
Acceptable use
You agree not to:
- break the law or infringe anyone’s rights using the Service;
- share your account or API key, or resell access to the Service;
- try to get around plan limits, probe or disrupt our systems, or reverse engineer the parts of the Service that run on our servers;
- use the Service to build a competing product.
AI answers can be wrong
Yodis uses AI models to answer questions and generate material from your notes. AI output can be incomplete or wrong. Check anything important before you rely on it, and don’t use the Service as a substitute for professional medical, legal or financial advice. You’re responsible for the decisions you make using it.
Changes to the Service
We’re a small company improving the Service over time. We may add, change or remove features. If we stop offering the Service entirely, we’ll give you at least 30 days’ notice by email and refund any unused part of a prepaid subscription.
Ending your account
You can stop using Yodis at any time by cancelling. We may suspend or end your account if you don’t pay, if you seriously or repeatedly break these terms, or if the law requires it. Where it’s reasonable to, we’ll tell you first and give you a chance to fix the problem. The vault on your computer stays yours in every case.
Disclaimer
Apart from the promises in these terms, the Service is provided “as is” and “as available.” To the extent the law allows, we disclaim all other warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise the Service will be uninterrupted or error-free.
Limit of liability
To the extent the law allows, Yodis is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. Some states don’t allow these limits, so they may not fully apply to you.
Disputes
Nevada law governs these terms, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Nevada, and you and we agree to those courts’ jurisdiction. Before filing a claim, please email support@yodis.ai so we can try to resolve it.
Changes to these terms
If we make a material change, we’ll email you at least 30 days before it takes effect and update the date at the top of this page. If you keep using the Service after that, the new terms apply. If you don’t agree, you can cancel before they take effect.
